Nvidia’s Class-Action Legal Fight Over Cryptocurrency Revenue
Nvidia Corp faces a protracted class-action lawsuit concerning its past disclosures of cryptocurrency mining revenue, as a decision from the U.S. Supreme Court clears the path for further litigation, potentially impacting the company’s stock valuation.
The lawsuit stems from claims made by Swedish investment firm E. Ohman J:or Fonder AB and other investors, alleging that Nvidia misled shareholders about the role of cryptocurrency sales in bolstering its financial performance during the height of the crypto boom in 2017 and 2018. According to plaintiffs, Nvidia downplayed the significant contribution of GPU sales to cryptocurrency miners, an attempt to avoid market backlash as bitcoin prices crashed, leading to a substantial 28% drop in the company’s stock value. The investors argue that this lack of transparency violated the Securities Exchange Act of 1934.
Legal Developments
After a California district court dismissed the case in 2021, the 9th Circuit Court of Appeals later reinstated it, highlighting the complexities surrounding Nvidia’s earnings disclosures related to cryptocurrencies. The U.S. Supreme Court heard the case in late 2024 but dismissed Nvidia’s appeal this past December, paving the way for the lawsuit to move forward in an Oakland federal court.
Nvidia’s financial disclosures have been under scrutiny since it paid a $5.5 million fine to the Securities and Exchange Commission (SEC) for providing inadequate information regarding the impact of cryptocurrency on its earnings in 2022, though the company did not admit any wrongdoing.
The plaintiffs assert that internal records from Nvidia indicate a robust market for chips used in cryptocurrency mining, contrasting the company’s public assertions.
